By accessing or using any website, software, hardware, or other offering provided by MCRB Labs ("MCRB Labs," "we," "us," or "our," and each such offering, a "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
MCRB Labs is a small, independent company that designs and builds software and hardware products. These Terms apply to any current or future MCRB Labs Service, unless a specific Service states otherwise.
Some Services may require you to create an account; others may not. Where an account is required or offered, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account, for providing accurate information, and for notifying us promptly of any unauthorized use. A Service that does not require an account today may introduce accounts or other features at any time.
You agree not to: (a) use the Services for any unlawful purpose; (b) reverse-engineer, decompile, or disassemble any Service except to the extent permitted by law; (c) interfere with or disrupt the integrity or performance of any Service; (d) resell, sublicense, or redistribute any Service without our prior written permission; or (e) use the Services in any way that could harm MCRB Labs, other users, or third parties.
Many of our Services are under active development. Features, functionality, pricing, availability, and specifications may change, be added, or be discontinued at any time without notice, and we make no commitment that any particular feature will continue to be offered.
All software, hardware designs, trademarks, logos, content, and other materials associated with MCRB Labs and the Services are owned by MCRB Labs or our licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right or license to that intellectual property beyond the limited right to use the Services as intended.
If a Service allows you to submit, upload, or create content, you retain ownership of that content, but you grant MCRB Labs a worldwide, royalty-free license to use, host, and process it solely as necessary to operate, provide, and improve the Services.
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that any Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
To the fullest extent permitted by law, MCRB Labs and its founders, employees, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, use, or goodwill, arising from or related to your use of, or inability to use, the Services, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Services will not exceed the greater of (a) the amount you paid us, if any, for the Service giving rise to the claim in the twelve months before the claim arose, or (b) £50.
You agree to defend, indemnify, and hold harmless MCRB Labs and its founders, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
If a Service includes physical hardware, you acknowledge that hardware can carry inherent risks, and you agree to use it in accordance with its instructions and at your own risk. MCRB Labs is not responsible for damage, injury, or loss resulting from misuse, modification, or improper installation of a hardware Service.
We may suspend or terminate your access to any Service at any time, with or without cause or notice, including if we believe you have violated these Terms. You may stop using the Services at any time.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services is subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MCRB Labs regarding the Services and supersede any prior agreements.
We may update these Terms at any time. The date at the top of this page reflects the most recent revision. Continued use of the Services after a change constitutes acceptance of the updated Terms.
